Name, Organization and Location
Section 1. Name. The name of the association is the WESTERN Nursery & Landscape Association, Inc.
Section 2. Organization. The corporation is organized under The General Not For Profit Law of Missouri, and any successor law thereto, including, without limitation, the Missouri Nonprofit Corporation Act.
Section 3. Location. The association may have one (1) or more offices within or without the state of Missouri as the Board of Directors may from time to time determine.
Section 1. Classes of Membership. There shall be two (2) classes of members. The qualification requirements of each class are as follows:
(a) Active Members. A business that (i) is actively engaged in the wholesale or retail nursery business which derives a majority of its revenues from the sale of agricultural and horticultural products and materials related thereto or (ii) has a separate division or department actively engaged in the wholesale or retail nursery business which division or department derives a majority of its revenues from the sale of agricultural and horticultural products and materials related thereto.
Persons or entities engaged in allied trades, such as horticultural printers, publishers of the trade papers, dealers in nursery supplies, manufacturers of agricultural implements, automotive equipment, and educators, and others that demonstrate an active interest in the industries served by the association.
(b) Honorary Members. Persons who, having done some outstanding service in the field of horticulture or in the interest of the Nurserymen of the country, are deemed worthy of this honor.
The term "nursery business," as used in this Article, refers to the production, distribution, or planting of or landscaping with plant materials, including but not limited to, trees, shrubs, vines and other plants having a persistent woody stem or stems, and all herbaceous annuals, biennials, or perennials, generally used for outdoor or indoor planting. Each Active and Associate Member shall designate one of its employees to represent such Member.
Section 2. Voting. Only Active Members shall have voting rights and each such Active Member shall be entitled to one (1) vote on each matter submitted to a vote of the Members.
Section 3. Application for Membership. Application for any class of Membership shall be made in writing on a form approved by the Board of Directors or by nomination by an Active Member. If the Board of Directors determines that the applicant is eligible (or deserving in the case of Honorary Members) for the class of Membership applied for, the applicant shall become a Member of the Association upon the receipt by the Association of the initial dues and other assessments established by the Board of Directors (or immediately in the case of Honorary Members).
Section 4. Dues. The amount of dues and other assessments and rules governing the payment of dues and other assessments shall be established by the Board of Directors, and the Board of Directors may from time to time amend the dues and other assessment amounts and payment rules; provided that Honorary Members shall not be required to pay dues.
Section 5. Termination of Membership. The Board of Directors, in its discretion, has the right and power to terminate a Member where the Member no longer qualifies under these Bylaws or for failure to pay dues. Before a Member may be terminated, other than for failure to pay dues, written notice must be given to the Member and that Member must be given the opportunity to be heard before the Board of Directors at the Board of Directors next regular meeting following such notice.
Meetings of the Members
Section 1. Time and Place. An annual meeting of the Members shall be held at such place, within or without the State of Missouri, and on such date as may be determined by the Board of Directors. Failure to hold the annual meeting at the designated time shall not work a forfeiture or dissolution of the association. Special Meetings of the Members may be called by the Board of Directors. Members holding ten percent (10%) of the votes entitled to be cast or ten (10) Active Members, whichever is less, shall constitute a quorum at any meeting of the Members. Except as otherwise required by these Bylaws, the vote of a majority of the votes entitled to be cast by the Members present at a meeting at which a quorum is present shall be necessary for the adoption of any matter voted upon by the Members.
Section 2. Notice. Written or printed notice stating the place, day and hour of the meeting and, in case of a special meeting, the purpose or purposes for which the meeting is called shall be delivered in a fair and reasonable manner.
Section 3. Proxies. A voting Member may vote either in person or by proxy executed in writing by the Member or by his authorized attorney-in-fact. No proxy shall be valid after eleven (11) months from the date of its execution unless otherwise provided in the proxy.
Section 4. Mail Ballots. In all matters to be brought before the Membership for a vote, the vote may be taken by mail ballot in lieu of a formal meeting, provided that the ballots, and a description of the matter(s) to be voted on are furnished to the Members entitled to vote at least thirty (30) days prior to the return deadline for the mail ballots. The Secretary-Treasurer shall file a tabulation of the results of the mail ballots with the minutes of the meetings of the Membership.
Section 1. Management; Number. The property, business and affairs of the association shall be controlled and managed by a Board of Directors, each member of which must be an Active member of the Association. The Board of Directors shall consist of the President, Vice President, Secretary-Treasurer, Immediate Past President and five (5) at-large directors elected by the Members. The fiscal year of the association shall be as determined by the Board of Directors.
Section 2. Term; Vacancies. The at-large directorships shall be divided into three first class directorships and two second class directorships, with the term of office of the first class being three years and the term of office the second class being two years, which terms shall be staggered so that each year the term of one directorship of each class shall expire each year. Except as set forth above, the rights, powers and obligations of the first and second class directors shall be identical. Directors shall be elected at the annual meeting of the Members. The term of each member of the Board of Directors shall commence on the day following such member's election and shall continue until the day following the election and qualification of the director's successor. A director may be elected to succeed himself in office. Whenever any vacancy of the members of the Board of Directors shall occur due to death, resignation, removal or otherwise, each director will automatically move up in succession.
Section 3. Quorum. One-third of the full Board of Directors, but not less than two (2) directors, shall constitute a quorum for the transaction of business. The vote of the majority of the directors present at a meeting at which a quorum is present shall be the act of the Board of Directors. In all matters coming before the Board of Directors, each director shall be entitled to cast one (1) vote.
Section 4. Meetings. The annual meeting of the Board of Directors, and all other regular or special meetings, shall be held at any place within or without the State of Missouri, as may be designated by the Board of Directors or by written consent of the members thereof. Regular meetings of the Board of Directors shall be held as frequently and at such time and place as may from time to time be determined by the Board of Directors. Special meetings of the Board of Directors may be held at any time upon call of the President of the association.
Section 5. Notice. Regular meetings of the Board of Directors may be held without notice. Special meetings of the Board of Directors may be held upon two (2) daysï¿½ notice. Neither the business to be transacted nor the purpose of any regular or special meeting of the Board of Directors need be specified in the notice or waiver of notice of such meeting.
Section 6. Attendance. Attendance of a director at any meeting shall constitute a waiver of notice, except where a director attends a meeting for the express purpose of objecting to the transaction of any business because the meeting was not lawfully called or convened.
Section 7. Conference Call. The Board of Directors or any committee designated by the Board of Directors may participate in a meeting of the Board or committee by means of a conference telephone or similar communications equipment whereby all persons participating in the meeting can hear each other, and participation in a meeting in this manner shall constitute presence in person at the meeting.
Section 8. Action by Written Consent. Any action which is required to be or may be taken at a meeting of the directors or any committee of the directors, may be taken without a meeting if consents in writing, setting forth the action so taken, are signed by all of the members of the Board of Directors or the committee as the case may be. The consents shall have the same force and effect as a unanimous vote at a meeting duly held, and may be stated as such in any certificate or document. The Secretary shall file the consents with the minutes of the meetings of the Board of Directors or of the committees as the case may be.
Section 1. Standing Committees. The standing committees of the association shall be a nominating committee, which shall consist of the President of the association and the immediate two Past Presidents of the association, and audit committee, which shall consist of the Secretary/Treasurer and two other at-large members appointed by, and serving at the pleasure of, the Board of Directors. Each such committee shall have such powers and perform such duties, not inconsistent with law, as set forth in these Bylaws or as may be assigned to it by the Board of Directors.
Section 2. Special Committees. The Board of Directors, by resolution, may provide for such committees of two (2) or more persons as it deems desirable, and discontinue the same at pleasure. Each such committee shall have such powers and perform such duties, not inconsistent with law, as may be assigned to it by the Board of Directors. Except as otherwise directed by the Board of Directors, the President shall appoint the chairman of all committees from among the directors and each such chairman shall choose the members of the chairman's committee, who need not be directors of this association.
Section 1. Officers. The officers of the association shall be a President, a Vice President, and Secretary-Treasurer.
Section 2. Election. The Vice President and Secretary-Treasurer shall be elected annually by the Members at the annual meeting. Prior to the annual meeting of the members, or at such other time as the Board of Directors may specify, the nominating committee shall submit its nominees for Vice President and Secretary-Treasurer. If accepted by the Board of Directors, such nominees shall be recommended to the Members by the Board of Directors at the annual meeting of the Members. The immediate past Vice President shall become the President of the Association. Except as set forth in Section 3 of this Article VI, such officers shall hold office for a term of one (1) year. A failure to elect annually a Vice President, Secretary-Treasurer, or other officers or agents shall not dissolve the association.
Section 3. Vacancies. In case any office shall become vacant by reason of death, resignation, removal or otherwise, each officer and director will automatically move up in succession.
Section 4. Bond. The Board of Directors, by resolution, may require any officer to give bond to the association, with sufficient surety or sureties, conditioned for the faithful performance of the duties of his office.
Duties of Officers
Section 1. President. The President shall preside at all meetings of the directors and shall have general supervision of the business and finances of the association and shall see that all orders and resolutions of the Board of Directors are carried into effect, subject, however, to the right of the directors to delegate any specific powers to any other officer or officers of the association except such as may be by statute exclusively conferred upon the President.
Section 2. Vice President. The Vice President shall perform such duties as shall be assigned to him and shall exercise such powers as may be granted to him by the Board of Directors or by the President. In the absence of the President, the Vice President may perform the duties and exercise the powers of the President with the same force and effect as if performed by the President.
Section 3. Secretary-Treasurer. The Secretary-Treasurer shall act as clerk at all meetings of the Board of Directors and in discharging the financial affairs of the association, which shall include, without limitation, keeping accurate accounts of receipts and disbursements in books to be maintained for such purpose and depositing all monies in accounts designated by the Board of Directors. The Secretary-Treasurer shall render to the President and the Board of Directors at regular or special meetings thereof, an accounting of all the transactions conducted by the Secretary-Treasurer and a statement of the financial condition of the association. The Secretary-Treasurer may delegate any or all of such duties to the staff of, or management company serving, the association, including the signing of legal documents, such as tax returns.
Indemnification of Officers, Directors and Others
Section 1. The Association may indemnify any individual as permitted by applicable law, to the extent the Association’s insurance policy permits such indemnification and to the extent of those policy limits. The Association shall indemnify any individual as required by applicable law.
Section 2. Insurance. The Association may purchase and maintain insurance on behalf of an individual who is or was a director, officer, employee, or agent of the Association, or who, while a director, officer, employee, or agent of the Association, is or was serving at the request of the Association as a director, officer, partner, trustee, employee, or agent of another foreign or domestic corporation, partnership, joint venture, trust, employee benefit plan, or other enterprise, against liability asserted against or incurred by him in that capacity or arising from his status as a director, officer, employee or agent, whether or not the Association would have power to indemnify him against the same liability under this Article or the obligation to indemnify him against the same liability as required by applicable law.
Section 3. Amendment. This Article IX may be hereafter amended or repealed; provided, however, that no amendment or repeal shall reduce, terminate, or otherwise adversely affect the right of a person entitled to obtain indemnification hereunder with respect to acts or omissions of such person occurring prior to the effective date of such amendment or repeal.
These Bylaws may be amended at any regular or special meeting of the Members at which a quorum is present or by mail ballot, by the affirmative vote of a majority of the Members entitled to vote on the proposed amendment or of two-thirds of the vote cast, whichever is less. Each class of Members will be entitled to vote separately on a proposed amendment to these Bylaws only if required by applicable law. If the proposed amendment is to be approved at a meeting of the Members, the Members shall be given notice of the meeting in accordance with these Bylaws, stating that the purpose, or one of the purposes, of the meeting is to consider the proposed amendment and containing a copy or summary of the proposed amendment. If the proposed amendment is to be approved by mail ballot, the material soliciting the approval shall contain a copy or summary of the proposed amendment.
